Terms and Conditions for translations

 

 

In submitting a text for translation, any person, firm or corporation (hereinafter referred to as the 'Client') enters into a binding agreement with Faramoor Ltd trading as FOREIGN LANGUAGE SERVICES (hereinafter referred to as the 'Company') and the agreement is subject to the following terms and conditions:

  1. When commissioning a translation the Client shall clearly indicate the intended use of the translation, namely whether it is required;

    a) for information only
    b) for publication and advertising
    c) for legal purposes or patent processing
    d) for any other purpose where the particular translation of the text by the Company is likely to be of special importance.

  2. The cost of the translation shall be determined in accordance with the appropriate scale of charges of the Company applicable to the particular type of translation required.

    1. If the client should wish to use the translation for another purpose than that for which it was originally supplied, the Client shall obtain confirmation from the Company or other competent authority that the translation is suitable for the new purpose.
    2. The Company reserves the right to amend and adapt such a translation previously supplied (if necessary) for the new purpose and to make a further charge for such work.

  3. In the event of the translation being used by the Client for a purpose other than that for which it was supplied, the Client shall not be entitled to any compensation from the Company and the Client shall indemnify the Company against any loss arising to the Company in good will or otherwise as a result of such use.

  4. 1. Where the purpose of the translation is not disclosed to the Company, the Company shall execute the translation to the best of its skills and judgment but will not be liable to the Client as a result of such disclosure.

    2. The Company shall treat as confidential all books, documents and information received from the Client and shall forthwith, on demand, return to the Client such confidential books and documents.

  5. All quotations given by the Company prior to the receipt of the document will be for information only and will not be binding. Although every care is taken to ensure accuracy the Company reserves the right to vary the charges and conditions after the document has been received, in which case the Client should be informed as early as possible that the document does not comply with the original description.

  6. The Client shall give to the Company a clear indication of his delivery requirements when submitting documents for translation and the Company will use its best endeavours to meet the Client's requirements.

  7. 1. Where the delivery date is a material part of a commission accepted by the Company, the Client must disclose this to the Company before the translation is made.

    2. Translations will be returned to the Client by electronic mail or by 'Royal Mail- First class' or FAX at the Company's discretion. Any other means of dispatch requested by the Client will be charged to the Client.

    3. The Company reserves the right to subcontract all or part of the document to a contractor of its choice.

  8. 1. In the event of force majeure, the Company shall notify the Client without delay and both, the Company and the Client shall be entitled to withdraw from the agreement which shall be deemed to have been rescinded. Without prejudice to the generality of the foregoing the Client undertakes to pay the Company for work already completed on the translation and the Company undertakes to use its best endeavours to assist the Client in obtaining the translation elsewhere.

    2. Force majeure shall mean strike, lockout, industrial dispute, civil commotion, natural disaster, acts of war and any other situation which can be shown to have materially affected the Company's ability to deal with the translation as agreed.

  9. The Company shall exercise all reasonable skill and care in the performance of its duties hereunder but liability for any consequential loss or damage incurred by the Client under this agreement or otherwise shall be limited by the Company on behalf of itself or any subcontractor as aforesaid to the cost of the translation.

  10. The Company will carry out, free of charge, all necessary amendments if such a request is received within 48 hours after delivery to the Client. Amendments of a cosmetic nature will be carried out and charged for according to all the above-mentioned conditions.

  11. All translations are payable within 28 days of receipt of the invoice unless otherwise agreed. Failure to adhere to the terms relating to payment agreed between the Company and the Client shall entitle the Company to abandon any commission currently in progress and to pursue its legal remedies against the Client.

  12. The Company reserves the right to charge interest at 3% per annum above libor on accounts remaining unpaid for periods in excess of their normal terms of credit, i.e. 28 days for the period from the date of the invoice until payment.

  13. These Terms and Conditions of Business shall be interpreted in accordance with English law.
